Terms of Service
Rules for using the SongSeed mobile application and related web pages.
1. Agreement
These Terms of Service (“Terms”) govern your use of the SongSeed application (“App”) published by Dreaming Above Labs (“we,” “us,” or “our”) and the SongSeed marketing and legal pages hosted with the App (“Site”). By downloading, accessing, or using the App or Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the App or Site.
2. Eligibility
You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements (including being at least 13 in the United States). If you use Apple Media Services or Apple Music features, Apple’s additional terms may apply.
3. License
We grant you a personal, non-exclusive, non-transferable, revocable license to use the App in line with these Terms and the Apple Media Services Terms where applicable. You may not copy, modify, distribute, sell, or lease the App or Site except as allowed by law or with our written permission.
4. The App does not provide legal or professional advice
SongSeed provides creative tools, analysis, and prompts to help you develop ideas. Output may be inaccurate or incomplete. You remain responsible for your songs, recordings, collaborations, and compliance with copyright, sampling, licensing, and other laws. Nothing in the App constitutes legal, financial, or other professional advice.
5. User content and conduct
You retain rights to content you create. You grant us the rights necessary to operate the App (for example, to process your inputs and provide features). You agree not to misuse the App: no unlawful content, no infringement of others’ rights, no attempt to reverse engineer or disrupt the service, and no automated scraping or overload of our systems except as permitted.
6. Apple Music and third parties
Features that search or use the Apple Music catalog depend on Apple’s services and your account status. Those features are subject to Apple’s terms and availability. Third-party trademarks and album artwork are owned by their respective owners; their appearance does not imply endorsement.
7. Subscriptions and purchases
If SongSeed offers paid features, purchases are processed by Apple. Manage or cancel subscriptions through your Apple ID account settings. Pricing and renewal terms are shown at purchase. Unless required by law, fees are non-refundable except as stated by Apple or us at the time of purchase.
8. Intellectual property
The App, Site, branding, and our content are owned by us or our licensors. Except for your own user content, you may not use our marks or materials without permission.
9. Disclaimer of warranties
THE APP AND SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE APP OR SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE APP IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50), EXCEPT WHERE PROHIBITED BY LAW.
11. Indemnity
You will defend and indemnify us against claims arising from your user content, your misuse of the App, or your violation of these Terms, subject to applicable law.
12. Changes
We may modify the App, Site, or these Terms. We will post updated Terms on the Site and update the “Last updated” date. Continued use after changes constitutes acceptance. If you do not agree, stop using the App and uninstall it.
13. Termination
We may suspend or terminate access to the App or Site if you violate these Terms or if we discontinue the service. Provisions that by their nature should survive will survive termination.
14. Governing law
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, unless your jurisdiction requires otherwise. Courts in Delaware (or the U.S. federal courts sitting there) have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence.
