Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your use of the CatalystIQ application (“App”) published by Dreaming Above Labs (“we,” “us,” or “our”) and the CatalystIQ marketing and legal pages hosted with the App (“Site”). By downloading, accessing, or using the App or Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the App or Site.

2. Eligibility

You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements (including being at least 13 in the United States). CatalystIQ is a finance-related tool; you are responsible for ensuring your use complies with laws that apply to you, including securities and trading regulations in your jurisdiction.

3. License

We grant you a personal, non-exclusive, non-transferable, revocable license to use the App in line with these Terms. You may not copy, modify, distribute, sell, or lease the App or Site except as allowed by law or with our written permission.

4. Not investment advice

CatalystIQ provides analytical tools, scores, summaries, and AI-generated insights based on news and SEC filings. CatalystIQ is not investment, financial, legal, or tax advice. We are not a broker-dealer, investment adviser, or fiduciary. Output may be inaccurate, incomplete, delayed, or based on sources that contain errors. You remain solely responsible for your trading and investment decisions, including any losses. Past patterns do not guarantee future results.

5. Market data and third-party sources

News, filings, halt data, and market information come from third parties (for example, OpenAI, Finnhub, Marketaux, Stock News API, FreeCryptoAPI, Marketstack, the SEC, and Nasdaq). Such data may be delayed, incomplete, or inaccurate. We do not guarantee timeliness or correctness. Third-party trademarks and company names belong to their respective owners; their appearance does not imply endorsement.

6. AI limitations

Analysis is generated by artificial intelligence and automated systems. AI output can be wrong, omit material facts, or misinterpret context even when grounded in retrieved sources. You should verify important information independently before acting on it. CatalystIQ is not a substitute for professional financial advice or your own research.

7. Free tier (bring your own API keys)

If you use CatalystIQ without CatalystIQ Plus, you may supply your own API keys for third-party services (including OpenAI, Finnhub, Marketaux, Stock News API, and FreeCryptoAPI). You are responsible for:

• Obtaining and complying with those providers’ terms, fees, and usage limits
• Securing your keys on your device
• Any charges incurred through your accounts with those providers
• Stock News API usage on the free tier, which is limited to 100 calls per day in the App

We are not liable for outages, rate limits, or policy changes imposed by third-party API providers. The free tier does not include Catalyst Scan, the Watchlist tab, or Plus push alerts.

8. CatalystIQ Plus subscriptions

CatalystIQ Plus is an auto-renewing subscription processed by Apple. Current pricing shown in the App is $5.99 per month or $29.99 per year, subject to change with notice as required by Apple. Plus includes managed API access (OpenAI, Finnhub, Marketaux, Stock News API, and related providers proxied through our servers), Marketstack market context, Catalyst Scan, a Watchlist (up to 25 symbols), Firebase Cloud Messaging push alerts for trade halts, breaking catalyst news, and Catalyst Scan hits, and is subject to usage limits including a daily analysis cap of 100 analyses per day. Manage or cancel subscriptions through your Apple ID account settings or the in-app subscription management tools. Unless required by law, fees are non-refundable except as stated by Apple or us at the time of purchase.

9. Acceptable use

You agree not to misuse the App or Site, including by:

• Violating applicable law or others’ rights
• Attempting to reverse engineer, disrupt, or overload our systems or third-party APIs
• Circumventing rate limits, subscription checks, alert registration limits, or security measures (including onboarding demo limits, Plus daily analysis caps, watchlist size limits, or Catalyst Scan theme subscription limits)
• Using the App for unlawful market manipulation or automated scraping beyond normal personal use
• Redistributing analysis output in a way that misrepresents it as guaranteed or professional advice

10. Intellectual property

The App, Site, branding, and our content are owned by us or our licensors. Except for content you lawfully receive through the App, you may not use our marks or materials without permission.

11. Disclaimer of warranties

THE APP AND SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANALYSIS, SCORES, OR DATA WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY TRADING STRATEGY.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, TRADING LOSSES, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE APP OR SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE APP IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50), EXCEPT WHERE PROHIBITED BY LAW.

13. Indemnity

You will defend and indemnify us against claims arising from your misuse of the App, your trading activity, your violation of these Terms, or your violation of third-party rights, subject to applicable law.

14. Changes

We may modify the App, Site, or these Terms. We will post updated Terms on the Site and update the “Last updated” date. Continued use after changes constitutes acceptance. If you do not agree, stop using the App and uninstall it.

15. Termination

We may suspend or terminate access to the App or Site if you violate these Terms or if we discontinue the service. Provisions that by their nature should survive will survive termination.

16. Governing law

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, unless your jurisdiction requires otherwise. Courts in Delaware (or the U.S. federal courts sitting there) have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence.
